1. Introduction

These Terms of Service ("Terms") govern your use of Listen Up Audio Ltd's products and services, including the ListenUp Access subscription, individual plugin purchases, free downloads, the listen-up-audio.com website, and any related services (collectively, the "Service"). By creating an account, starting a free trial, purchasing a subscription, downloading any product, or otherwise using the Service, you agree to be bound by these Terms.

Listen Up Audio Ltd ("we", "us", "our", or "Listen Up Audio") is a private limited company registered in England and Wales.

If you do not agree to these Terms, you must not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into a binding contract. If you are under 18, your parent or legal guardian must agree to these Terms on your behalf and accept responsibility for your use of the Service.

3. Your Account

To access certain features of the Service, including the free trial and paid subscriptions, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration and at all times thereafter;
  • Maintain and promptly update your account information;
  • Keep your password and account credentials secure and confidential;
  • Notify us immediately at support@listen-up-audio.com of any unauthorised use of your account or other breach of security;
  • Accept full responsibility for all activity that occurs under your account.

We reserve the right to suspend, restrict, or terminate accounts that contain false information, are used in violation of these Terms, or are otherwise associated with suspicious or fraudulent activity.

4. ListenUp Access Subscription

ListenUp Access is a subscription service providing access to a library of audio plugins, presets, and sample content.

4.1 Free Trial

New subscribers may receive a 3-day free trial. Payment details are captured at the time of signup. You will be automatically charged at the end of the trial period unless you cancel through your account dashboard before the trial ends. It is your responsibility to cancel before the trial ends if you do not wish to be charged.

4.2 Billing

Subscriptions are billed in advance on a monthly basis. By subscribing, you authorise us (through our payment processor) to charge your nominated payment method on a recurring basis until you cancel.

All payments are processed by our payment provider, Lemon Squeezy, which acts as merchant of record for transactions on the Service. By making a purchase, you also agree to Lemon Squeezy's terms of service.

4.3 Renewal

Your subscription renews automatically at the end of each billing period. You will receive a reminder email before each renewal. To prevent renewal, you must cancel your subscription from your account dashboard at least 24 hours before the next renewal date.

4.4 Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to ListenUp Access until that date. No partial refunds are issued for unused time in a billing period unless required by law or our Refund Policy.

4.5 Price Changes

We may change subscription prices from time to time. You will be notified at least 30 days in advance of any price change affecting your subscription. Continued use of the Service after the price change takes effect constitutes acceptance of the new price.

5. Licence to Use Listen Up Audio Products

When you subscribe to ListenUp Access or purchase an individual product, you are granted a limited, non-exclusive, non-transferable, revocable licence to use the plugins, presets, sample content, and related materials ("Products") for your own music production purposes, subject to the conditions in this Section 5.

5.1 Permitted Uses

You may:

  • Install and use the Products on up to three (3) computers that you personally own or control;
  • Use the Products to create original musical works;
  • Distribute, sell, licence, perform, broadcast, and monetise original musical works you create using the Products, including works that incorporate samples or presets from the Products as part of a final musical composition;
  • Use the Products commercially, including in paid productions, commercial releases, sync placements, advertising, film, television, video games, and other licensed media;
  • Use the Products in YouTube tutorials, social media content, and other educational or promotional content, provided that the Products themselves are not redistributed or made available for download.

5.2 Prohibited Uses

You may not:

  • Redistribute, resell, sublicence, rent, lease, or share the Products, in whole or in part, with any other person or entity;
  • Extract, repackage, or distribute the raw samples, presets, impulse responses, or any other component of the Products as a standalone product, sample pack, preset pack, sound library, or part of any other product;
  • Use the Products or any component thereof to create competing audio plugins, sample libraries, preset packs, or sound design products;
  • Use the Products, samples, or any component thereof to train, develop, or improve any artificial intelligence model, machine learning model, generative audio system, or similar technology;
  • Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying logic of the Products;
  • Remove, alter, obscure, or circumvent any copyright notice, trademark, licence key system, watermark, or other proprietary notice or technical protection measure;
  • Install or use the Products on more than the permitted number of computers without an additional licence;
  • Share your account credentials, licence keys, or downloaded files with any third party;
  • Use the Service in a manner that violates any applicable law, regulation, or third party rights.

5.3 Termination of Subscription Access

If your ListenUp Access subscription ends for any reason (including cancellation, non-payment, or termination by us), your licence to use the Products granted under your subscription terminates immediately. The Products will remain installed on your computer but will be locked behind the licence key activation screen and will not function until a valid active subscription is restored.

Musical works you have already created and released using the Products before your subscription ended remain unaffected — you retain full rights to your original compositions.

6. Intellectual Property

All Products, including but not limited to plugin code, GUI designs, sample recordings, preset data, documentation, audio demos, video content, written materials, brand assets, logos, and the listen-up-audio.com website, are the exclusive property of Listen Up Audio Ltd or its licensors and are protected by UK and international copyright, trademark, and other intellectual property laws.

These Terms do not transfer any ownership rights in the Products to you. You receive only the limited licence described in Section 5.

"Listen Up Audio" and "ListenUp Access" are trademarks of Listen Up Audio Ltd. You may not use these marks without our prior written permission, except in good-faith references to our Products and Service (for example, in tutorials or reviews).

7. User Submissions

If you submit content to Listen Up Audio (including but not limited to support requests, feedback, reviews, ideas, suggestions, or social media posts tagging us), you grant Listen Up Audio Ltd a worldwide, royalty-free, non-exclusive, perpetual licence to use, reproduce, modify, adapt, publish, and display that content for the purpose of operating, improving, and promoting the Service.

You confirm that any content you submit:

  • Is your original work or you have the right to share it;
  • Does not infringe any third party's intellectual property, privacy, or other rights;
  • Is not defamatory, unlawful, hateful, harassing, or otherwise objectionable.

8. Free Downloads and Email Communications

If you sign up to receive free downloads, sample kits, presets, or other promotional content, you consent to receive related email communications from Listen Up Audio. You may unsubscribe at any time using the unsubscribe link provided in each email.

Free content is provided under the same licence terms as paid content (see Sections 5.1 and 5.2).

9. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms by reference.

In summary:

  • 3-day free trial users are not charged unless they fail to cancel before the trial ends;
  • Monthly subscription refunds are available within 14 days of charge, provided no plugin installers or content have been downloaded from your account during that billing period;
  • Refund requests after downloads have begun, or outside the 14-day window, will not be granted except where required by law.

By starting any download, you confirm that you have received the digital content and waive your statutory right of cancellation under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 for that downloaded content.

10. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Attempt to gain unauthorised access to the Service, other users' accounts, or our systems;
  • Interfere with, disrupt, or place undue load on the Service or our infrastructure;
  • Use automated systems (bots, scrapers, crawlers, etc.) to access the Service without our prior written consent;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Engage in fraudulent activity, including but not limited to fraudulent chargebacks, abuse of the free trial system, or use of stolen payment methods;
  • Engage in any conduct that we determine, in our reasonable discretion, to be harmful to other users, the Service, or Listen Up Audio.

11. Chargebacks

Please contact us at support@listen-up-audio.com before initiating a chargeback with your bank or card issuer. Most billing issues can be resolved quickly through direct contact. Chargebacks issued without prior contact with us will result in your account being permanently banned from all Listen Up Audio products and services, and we may pursue recovery of any associated fees.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, for any of the following reasons:

  • Violation of these Terms;
  • Fraudulent, abusive, or suspicious activity;
  • Non-payment of subscription fees;
  • Excessive refund requests or chargebacks;
  • Where required by law;
  • At our reasonable discretion to protect the Service, other users, or Listen Up Audio.

Upon termination:

  • Your right to use the Service ends immediately;
  • You must uninstall and delete all copies of the Products from your devices;
  • We may delete your account data, subject to any legal retention requirements;
  • Sections of these Terms that by their nature should survive termination (including Sections 5, 6, 11, 12, 13, 14, and 16) will continue to apply.

13. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

We do not warrant that:

  • The Service will be uninterrupted, error-free, secure, or free from viruses or harmful components;
  • The Products will meet your specific requirements or expectations;
  • The Service will be compatible with all hardware, operating systems, or digital audio workstations.

You use the Service at your own risk.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

14. Limitation of Liability

To the maximum extent permitted by law, Listen Up Audio Ltd's total liability to you for any and all claims arising out of or relating to the Service or these Terms shall not exceed the total amount you have paid to us in the 12 months preceding the event giving rise to the claim, or £100, whichever is greater.

We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or loss of musical works, even if we have been advised of the possibility of such damages.

Nothing in this Section 14 excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or breach of statutory consumer rights.

15. Copyright Infringement Claims

If you believe that any content on the Service infringes your copyright, please contact us at support@listen-up-audio.com with the following information:

  • A description of the copyrighted work you claim has been infringed;
  • A description of where the allegedly infringing material is located on the Service;
  • Your contact information (name, address, email, telephone number);
  • A statement that you have a good-faith belief that the use is not authorised by the copyright owner;
  • A statement, made under penalty of perjury, that the information provided is accurate and that you are the copyright owner or authorised to act on their behalf;
  • Your physical or electronic signature.

We will investigate all good-faith claims and take appropriate action, which may include removing the allegedly infringing content.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will:

  • Update the "Last updated" date at the top of this page;
  • Notify subscribers by email of any material changes at least 30 days before they take effect.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in another jurisdiction, you retain the benefit of any mandatory consumer protection laws of your country of residence.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remainder of these Terms remains in full force and effect.

19. Entire Agreement

These Terms, together with the Refund Policy and Privacy Policy, constitute the entire agreement between you and Listen Up Audio Ltd regarding the Service and supersede all prior agreements and understandings.
